Affiliate policy & Terms and Conditions.

You must read and accept these Terms and Conditions if you register as a member of CoolOrca Inc. affiliate program.

This is a final and binding Affiliate contract between CoolOrca Inc. and the Affiliate applicant.

The term "Affiliate" below refers to you (the applicant). Wherever the Terms and Conditions refer to "you" or "your", it means "the Affiliate."

The link provider under these Terms and Conditions is CoolOrca Inc., marketplace. The terms "we", "our", and "us" in these Terms and Conditions refers to the company CoolOrca Inc.

Referral agreement

CoolOrca Inc., the link provider, rewards the Affiliate for referring customers to our marketplace. CoolOrca Inc. is responsible for processing the orders placed by referred customers.

CoolOrca Inc. rewards the Affiliate in two cases:

if a referred customer registers on the marketplace website, CoolOrca Inc pays you a registration reward; the registration reward is paid once, within 24 hours of the registration confirmation.

if a referred customer places a purchase order, CoolOrca Inc pays you a purchase reward; the purchase reward is payable once at the end of the month.

The amount of both rewards above is described in the Affiliate Program available on our website here and depends on the Affiliate plan chosen by the Affiliate at registration.

CoolOrca Inc. provides the Affiliate with a transparent tracking system for the rewards payable.

Payments from CoolOrca Inc. to the Affiliate will be sent via PayPal or Transferwise to the account provided at registration. If any order that generated a purchase reward is cancelled by the customer, or if there are any returned funds, the amount of the return will be deducted from your monthly payment.

Referred customers

Customers referred by the Affiliate who register on CoolOrca Inc. marketplace and purchase goods and services will be deemed to be customers of CoolOrca Inc. Therefore, all CoolOrca Inc. Privacy Policy and Terms of Service will apply to such customers. CoolOrca Inc. publish all relevant policies and guidelines on their website and may change them at any time without prior notice. Operating procedures and terms of customer service will always be determined by Coolorca Inc. policies in force at any given moment.

Qualifying Sites.

CoolOrca Inc. reserve the right NOT to accept any Affiliate into the Affiliate Program based on their site content. All applicants will be reviewed and sites on certain topics will not be permitted. Sites NOT to be admitted relate to any of the following topics, including, but not limited to:

Pornography of any kind, including but not limited to online subscription pornography or adult subscription content, or pre-adult content (pictures, videos, etc. of individuals under 18 years old). Anything that falls into the category of "adult entertainment" is prohibited.
Any form of "hate" oriented site.
Animal cruelty or procedures deemed harmful, unnecessary or unnatural to animals.
Unsolicited email services of any kind.
Gambling transactions of any kind, including lottery, raffles, contest sites.
Money making, work at home, home mailing, MLM, pyramid schemes, or similar products.
Phone chat lines or psychic readings.
Any form of sex product (Viagra, penis, breast enlargement) growth hormones, nutrients, wonder drugs, or human growth hormone.

Applicants involved in sales and distribution of any type of firearms, fireworks or pyrotechnic devices or supplies, alcoholic beverages, tobacco products, live animals, prescription drugs or other controlled substances, hazardous materials, combustibles, corrosives must provide certification documents and licenses to prove the legality of their activity.

All Affiliates may not:

Violate the privacy, publicity or personal rights of other CoolOrca marketplace users;
Infringe on the intellectual property rights of others, i.e., copyrights, trademarks, trade secrets, plagiarism, software piracy, patents, music, images, or other proprietary or property right. Materials that infringe on the intellectual property rights may not be distributed to others.
Include Defamatory or Abusive Language. Any content or communication by the Affiliate may not contain any material that is unlawful, harmful, fraudulent, abusive, vulgar, hateful, racial or otherwise objectionable, including, without limitation, any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable local, state, national or international law. Affiliate who use defamatory, abusive or threatening language will be excluded from the program.
Distribute viruses or worms or provide information on how to send them. Any user promoting any form of cyber-crime or other illegal computer activities will be excluded from the program.

CoolOrca Inc. reserves the right to suspend your Affiliate Program if your activity is found to be harmful in any way.

If you are using search engine advertising to promote your website or affiliate links, you may not use our website names, urls, or trademarks in your ads or keywords. Additionally, you must add our website names, urls, and trademarks as negative keywords on your campaigns.

You may not use your affiliate link as an entryway to pay for your own projects.

No spam policy.

CoolOrca Inc. has a zero tolerance policy for spam. Spam is defined as any unsolicited email whether commercial or non-commercial in nature. Spam includes, but is not limited to, the sending of ANY unsolicited information to a person or group that has not specifically asked to receive that particular information or is not a personal acquaintance of the individual sending the information. All Affiliates are expected to adhere to CoolOrca Inc. no spam policy. Affiliates may promote CoolOrca Inc. marketplace to "opt-in" lists ONLY. If you run a newsletter, ezine, or any other kind of bulk email service, you must have evidence that people signed up to receive email from you. Any and all spam complaints will be investigated thoroughly.

If an Affiliate is found to be sending spam, CoolOrca Inc. will terminate their Affiliate contract. In this case the Affiliate may lose some or all referral rewards payable to them.

If an Affiliate is found to be promoting prohibited products or services in connection with their site in any way may have their affiliate contract terminated and could lose any or all referral rewards payable to them. The Affiliate may also be held liable for any and all damages and/or losses that may result as a consequence

Part of the no spam policy means, you may NOT:

Send any email to any type of mailing list or opt-in list that has been purchased or acquired from an outside individual or party.
Send any email to any type of manually or automatically harvested list of email addresses, names, or contacts.
Send any email to any type of "lead" or "prospect" before you have received a request for more information.
Fax any message to any recipient that has not requested the information first.
Send inappropriate postings to any newsgroup or forum that violate their anti-spam regulations
CoolOrca Inc. reserves the right to terminate or refuse service to any person or organization at any time without explanation of reasons.

Relationship of Parties

CoolOrca Inc. and its affiliates are independent contractors. No partnership, joint venture, agency, franchise, sales representative, or employment relationship will be created under this Affiliate Program between the parties. The Affiliates will have no authority to make or accept any offers or representations on our behalf. The Affiliates will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

No Warranties

CoolOrca Inc. makes no warranties of any kind, whether express or implied with respect to the Affiliate program. CoolOrca Inc. is not responsible for damages suffered by any customer, including incidental damages or lost profits. CoolOrca Inc. cannot guarantee that the operation of our marketplace will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors. The access to CoolOrca Inc. marketplace website and affiliate program is provided to you "as is" without warranty of any kind either express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement, security or accuracy.

Additionally, CoolOrca Inc. in no way guarantees financial success through our Affiliate program or that any users of the affiliate program or our products will make money in any amount. We are not offering you a guaranteed business opportunity of any sort.

Governing Law/Severability

This agreement between you and CoolOrca Inc. will be governed by and construed in accordance with the laws of the State of Florida (United States), without reference to its conflicts of laws principles. You agree that any litigation or arbitration between the parties will take place in Florida (United States), and consent to personal jurisdiction and venue in the State. If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable for any reason, the remainder of that Agreement will continue in full force and effect.

Complete Understanding/Modification

These Terms and Conditions constitute the full and complete understanding and Affiliate Contract between you and CoolOrca Inc. relating to the subject matter hereof and supersede all prior understandings, agreements, representations and warranties relating to such subject matter. Any waiver, modification, or amendment of any provision of this Terms & Conditions, initiated by you will be effective only if accepted in writing and signed by CoolOrca Inc.
